Terms of Service

These terms govern any project or engagement between you (the "Client") and Throughline Co. ("we," "us"). By booking a call, signing a proposal, or paying a deposit, you agree to them.

Who we are

Throughline Co. is a sole proprietorship operated by Riya Mittal, based in Bangalore, India, providing brand strategy, content and storytelling, audience growth, LinkedIn strategy, website design and build, and related marketing services described on this site.

Engagements and scope

Each project is scoped individually. The specific deliverables, timeline, and price for your project are the ones agreed in writing — by email, proposal, or invoice — before work begins. These Terms fill in the general rules around that agreement; they do not replace it.

If you ask for something outside the agreed scope partway through a project, we'll flag it and quote it separately rather than silently absorbing it or silently ignoring it.

Fees and payment

Unless otherwise agreed in writing, projects require a 50% deposit before work begins, with the remaining balance due on delivery of the final work. Ongoing services (such as social media management) are billed on the cadence agreed in your proposal, typically monthly in advance.

The deposit is non-refundable once work has begun, since it reserves time and covers work already in progress. If payment on the final balance is late, we reserve the right to pause delivery or further work until the account is current.

Cancellation

You may cancel a project at any time with written notice (an email is fine). If you cancel after work has started, the deposit already paid is non-refundable, and you'll be invoiced for any additional work completed beyond the deposit up to the point of cancellation.

We reserve the same right to end an engagement with written notice if it isn't working for us — for example, non-payment, unresponsiveness that stalls the project for an extended period, or a request to do something unlawful or unethical.

Ownership

Once a project is paid in full, you own the final deliverables we create for you — the finished website, brand assets, copy, and similar work product. Work-in-progress drafts, internal process documents, and any proprietary tools, templates, or frameworks we use to do the work remain ours.

Unless you tell us otherwise in writing, we may display finished work in our own portfolio, case studies, and marketing materials (as we already do for past clients on this site), including the results and context of the engagement.

Your responsibilities

Projects move at the pace of the slower party. We'll ask for the things we need from you — feedback, approvals, access to accounts or platforms, source material — and timely responses keep the timeline we agreed to. Significant delays on your end may push back delivery dates accordingly.

Confidentiality

We treat what you share with us about your organization, plans, and numbers as confidential, and we expect the same about our own process and pricing. Neither of us will share the other's non-public business information with third parties without permission, except where the law requires it.

No guaranteed outcomes

We bring real expertise to every engagement, but we cannot guarantee specific business results — audience growth, revenue, search rankings, or otherwise. Marketing and brand strategy outcomes depend on many factors outside our control. What we do guarantee is the work itself: the deliverables agreed in your proposal, done to a professional standard.

Limitation of liability

To the extent permitted by law, our total liability for any claim arising from a project is limited to the amount you paid us for that project. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

Governing law

These Terms are governed by the laws of India. Any dispute arising from these Terms or a project will be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka.

Changes to these terms

We may update these Terms occasionally. The date at the top will always reflect the most recent version. For an active project, the terms in place when you signed on govern that project unless we agree otherwise in writing.
